LICENSE AND TRADEMARK AGREEMENT BETWEEN OLPC AND <chaptername>

This agreement is by and between One Laptop per Child [OLPC] and <chaptername> [CHAP].

WHEREAS:

A. The mission of OLPC is <mission of OLPC>

B. The mission of CHAP is <mission of CHAP>


THEREFORE, THE PARTIES HEREBY AGREE AS FOLLOWS:

1. CHAP
:a. will have community representation on their board of directors;
:b. will appoint a communication and a community liaison to the global community;
:c. will abide by the principles of open communication, and community participation;
:d. will be open to participation/membership from their region without discrimination;
:e. will not act as an agent for OLPC nor form partnerships or agreements in its name;
:f. will not act inconsistently with OLPC's principles or its status as a public charity;
:g. will only use the OLPC mark as described below [in part 4.]

2. OLPC:
:a. will include CHAP as part of the global OLPC community;
:b. will share resources with CHAP and information about projects in that region;
:c. will appoint a community member to the CHAP board of directors or similar governing body;
:d. will charge no license fee for the use of the OLPC mark in its name;
